These Terms of Service (“Terms”) govern the use of the website yhs-production.xyz (the “Site”) operated by YHS Production GmbH and any commercial supply relationship arising from inquiries or orders placed through the Site, unless a separate written supply agreement governs the relationship.
These Terms are governed by Swiss substantive law, excluding the Swiss conflict-of-laws provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Exclusive place of jurisdiction is the courts at the registered seat of YHS Production GmbH in Wil SG, Switzerland, subject to any mandatory consumer-protection rules.
The Site, our products and our services are intended exclusively for commercial buyers acting in the course of their trade, business or profession. We do not contract with consumers within the meaning of Article 32 of the Swiss Code of Obligations.
You may use the Site to inform yourself about our products, request quotations, and contact us regarding commercial supply. You may not:
Information published on the Site, including specifications, lead times and indicative prices, does not constitute a binding offer. A binding contract is formed only when YHS Production GmbH issues a written order confirmation or signed contract referencing specific quantities, specifications, prices and delivery terms.
Quotations are valid for 30 days from issue, unless stated otherwise in writing. All prices are exclusive of VAT, transport, insurance and customs duties unless explicitly stated.
Unless otherwise agreed, deliveries are made on EXW (Wil SG) terms per Incoterms 2020. Risk passes to the buyer upon collection or hand-over to the first carrier. Lead times communicated on the Site are indicative; binding delivery dates are confirmed in writing.
Unless otherwise agreed, invoices are payable within 30 days net from invoice date. Late payment triggers default interest at 5% per annum in accordance with Article 104 of the Swiss Code of Obligations, plus reasonable collection costs. We reserve the right to require advance payment or letters of credit for new clients or high-value orders.
Delivered goods remain the property of YHS Production GmbH until full payment, including any interest and costs, has been received.
The buyer shall inspect delivered goods promptly upon receipt and notify YHS Production GmbH of any obvious defects in writing within 8 working days of delivery. Hidden defects must be notified within 8 working days of discovery, and in any case no later than 12 months from delivery. Our warranty is limited, at our discretion, to repair, replacement or credit note for the affected goods.
To the maximum extent permitted by Swiss law, YHS Production GmbH’s aggregate liability arising out of any contract or use of the Site is limited to the invoiced value of the goods or services giving rise to the claim. We are not liable for indirect or consequential losses, including loss of profit, loss of business, or third-party claims, except in cases of gross negligence or wilful misconduct.
Neither party is liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, government action, transport blockades, energy shortages, raw-material shortages, pandemics, or armed conflict.
All content on the Site — including text, photography, logos, drawings, dielines and product specifications — is the property of YHS Production GmbH or its licensors and is protected under Swiss and international copyright law. Custom dielines and artwork produced for specific clients remain governed by the relevant supply agreement.
Each party shall treat as confidential any non-public information disclosed by the other party in connection with quotations or orders, and shall use such information solely for the performance of the commercial relationship.
Processing of personal data in connection with the Site and our commercial relationships is described in our Privacy Policy.
We may update these Terms at any time. The version applicable to a given contract is the version in force on the date of the relevant order confirmation. Material changes affecting active framework contracts will be communicated in writing.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be replaced by a valid provision approximating the original commercial intent.
